1. Introduction

 

These terms and conditions govern your use of the website www.talentcard.co.za (the "Site"). By accessing or using the Site, you agree to be bound by these terms and conditions. If you do not agree to these terms and conditions, you are not authorized to use the Site.

 

2. Ownership and License

 

The Site is owned and operated by Talentcard (Pty) Ltd ("Talentcard"). Talentcard grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Site.

 

3. User Content

However, by submitting, posting, or displaying your User Content on the Site, you grant Talentcard a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any and all media or formats now known or hereafter developed.

 

You represent and warrant that you have the right to grant Talentcard the license set forth above with respect to your User Content. You further represent and warrant that your User Content is accurate, complete, and up-to-date.

 

4. Conduct

 

You agree to use the Site in a manner that is consistent with all applicable laws and regulations. You agree not to use the Site to:

 

Post or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable content.

Post or transmit any content that infringes on the intellectual property rights of others.

Post or transmit any spam, unsolicited commercial messages, or chain letters.

Impersonate any person or entity.

Solicitation of funds or goods from other users.

5. Termination

 

Talentcard may terminate your access to the Site at any time for any reason, including, but not limited to, breach of these terms and conditions.

 

6. Indemnification

 

You agree to indemnify and hold Talentcard harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site.

 

7. Disclaimer

 

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TALENTCARD EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TALENTCARD DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

8. Governing Law

 

These terms and conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

 

9. Entire Agreement

 

These terms and conditions constitute the entire agreement between you and Talentcard with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

 

10. Severability

 

If any provision of these terms and conditions is held to be invalid or unenforceable, such provision shall be struck from these terms and conditions and the remaining provisions shall remain in full force and effect.

 

11. Notices

 

All notices and other communications under these terms and conditions shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
